These Terms of Service ("Terms") govern your access to and use of the platform, including our website, mobile applications, and all related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By creating an account, browsing the platform, or making a booking, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. User Accounts

To use certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information.
Keep your password confidential and not share your account credentials with any third party.
Notify us immediately of any unauthorized use of your account.
Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for fraudulent purposes.

3. The Platform

The platform operates as a marketplace connecting boat owners ("Owners") with individuals seeking to charter boats ("Charterers"). We are not a party to the charter agreement between Owners and Charterers. Our role is to facilitate the listing, discovery, booking, and payment process.

We do not own, operate, manage, or control any of the boats listed on the platform. Owners are solely responsible for the accuracy of their listings, the condition and safety of their vessels, and compliance with applicable laws and regulations.

4. Bookings

A booking is confirmed when the Charterer completes payment and the Owner accepts the booking request (or, for instant-book listings, when payment is completed). A confirmed booking creates a binding agreement between the Owner and the Charterer.

The platform processes payments on behalf of Owners and holds funds until the applicable payout conditions are met. All prices displayed on listings are set by Owners. The platform may add service fees to the Charterer and deduct commission from the Owner's payout.

5. Payments

All payments are processed through our secure payment system. By making a payment, you agree to the following:

Payment is due at the time of booking confirmation unless otherwise specified (e.g., split payment plans for advance bookings).
All prices are displayed in the currency specified on the listing. Currency conversion fees, if applicable, are borne by the payer.
The platform may hold a security deposit pre-authorization on the Charterer's payment method as specified in the listing.
Payouts to Owners are processed according to the payout schedule described in the Owner's dashboard.

6. Cancellations and Refunds

Cancellation policies are set by Owners and displayed on each listing. The following general rules apply:

Charterer cancellations: Refund amounts are determined by the Owner's cancellation policy and the timing of the cancellation relative to the charter start date.
Owner cancellations: If an Owner cancels a confirmed booking, the Charterer receives a full refund. Repeated owner cancellations may result in penalties including reduced search visibility or account suspension.
Force majeure: In cases of extraordinary circumstances beyond either party's control (severe weather, natural disasters, government restrictions), the platform may facilitate modified terms or refunds at its discretion.

Service fees may be non-refundable in certain cancellation scenarios. Details are provided at the time of booking.

7. User Conduct

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
Post false, misleading, or fraudulent content, including listing information, reviews, or profile details.
Circumvent the platform's payment system by arranging direct payments with other users.
Harass, threaten, or discriminate against other users.
Attempt to access accounts, systems, or data that do not belong to you.
Scrape, crawl, or use automated means to access the platform without our express written permission.
Interfere with the proper functioning of the Service.

8. Listings and Content

Owners are responsible for the accuracy and completeness of their listings. By posting a listing, you represent that:

You have the legal right to offer the boat for charter.
The boat meets all applicable safety and registration requirements.
The boat is insured for charter use as described on the platform.
All photos, descriptions, and pricing are accurate and not misleading.

By submitting content (photos, descriptions, reviews) to the platform, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

The platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
We do not warrant that the Service will be uninterrupted, error-free, or secure.
We are not liable for the actions, omissions, or negligence of Owners, Charterers, or any third parties.
Our total liability for any claim arising from or related to the Service shall not exceed the amount of fees you have paid to us in the twelve months preceding the claim.
We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or goodwill.

10. Dispute Resolution

In the event of a dispute between an Owner and a Charterer, we encourage the parties to resolve the matter directly. The platform provides a resolution center to facilitate communication and mediation.

If a dispute cannot be resolved through the resolution center, the parties may pursue mediation or arbitration in accordance with the laws of the applicable jurisdiction. Legal proceedings related to these Terms shall be subject to the exclusive jurisdiction of the courts specified in the Governing Law section below.

11. Indemnification

You agree to indemnify, defend, and hold harmless the platform, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Intellectual Property

The platform, including its design, features, content, and technology, is owned by us and protected by intellectual property laws. You may not reproduce, modify, distribute, or create derivative works from any part of the Service without our express written consent.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or the platform. You may terminate your account at any time through your account settings. Termination does not affect obligations arising before the termination date, including any pending bookings or outstanding payments.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of laws provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Split, Croatia.
